6. Usage & Intellectual Property
6.1 The Client receives a non-exclusive, non-transferable licence to use the Deliverables internally.
6.2 Only the results from the “Performance Leaderboards” and “Awards” may be shared externally, provided BehindLogin branding and the context of the findings are retained.

6.5 Provider names, trade marks, logos, screenshots and other third-party materials remain the property of their respective owners. Their inclusion is solely for the purposes of identification, evidence, analysis, criticism, review and comparison and does not imply any affiliation with or endorsement by the relevant provider.
6.6 The Client may not extract or reuse third-party materials from the Deliverables for external marketing, publication or other commercial purposes without the relevant rights holder’s permission.
7. Confidentiality & Data
7.1 The Client agrees not to disclose any non-public content within the Deliverables.

8. Disclaimers & Liability
8.1 Deliverables are provided for information and research purposes only and do not constitute financial, legal or strategic advice.
8.2 The Deliverables represent BehindLogin’s independent assessment of the products and experiences observed during the research period. Digital products and features may subsequently change.
8.3 While BehindLogin takes reasonable care to ensure the accuracy of its research, it does not warrant that the Deliverables are complete, error-free or suitable for any particular purpose.
8.4 BehindLogin is not responsible for decisions made in reliance on the Deliverables and its total liability under this Agreement shall be limited to the price paid for the selected Report Package.
8.5 Nothing in this Agreement excludes liability for death or personal injury caused by negligence, fraud or any liability that cannot lawfully be excluded.
9. Termination & Non-Payment
9.1 BehindLogin reserves the right to withhold or suspend Deliverables or platform access if payment is not received in accordance with clause 4.
9.2 Given the nature of Essential and Comprehensive as off-the-shelf research products, non-delivery is unlikely unless caused by unforeseen technical issues, in which case BehindLogin will take reasonable steps to remedy.
9.3 BehindLogin may suspend or terminate access to subscription services where the Client materially breaches this Agreement and fails to remedy that breach within a reasonable period following written notice.

10.1 This Agreement is governed by the laws of England and Wales.
10.2 Any disputes will be subject to the exclusive jurisdiction of the English courts.
11. Use of Digital Platforms
11.1 BehindLogin may use Figma, BehindLogin’s own technology or another digital platform to provide access to UI Screens, Journey Maps and other Deliverables.
11.2 BehindLogin may change the platform used to deliver these assets from time to time, provided this does not materially reduce the Deliverables included within the Client’s selected Report Package.
11.3 Where access to a third-party platform such as Figma requires the Client to hold its own account, licence or subscription, the Client is responsible for obtaining and maintaining that access. BehindLogin does not provide or cover the cost of third-party accounts, licences or subscriptions unless expressly stated otherwise.
11.4 Where BehindLogin provides access to its own platform as part of a Report Package, access will be provided in accordance with the applicable package and any associated access period.
11.5 BehindLogin is not responsible for the Client’s inability to access Deliverables as a result of the Client’s own IT, security, firewall or third-party platform restrictions.
12. Subscription Package
12.1 Where the Client purchases the Subscription Package, the subscription will run for a fixed period of 12 months from the commencement date specified in the applicable order form or confirmation or, where no commencement date is specified, from the date access to the Subscription Deliverables is first provided.
12.2 During the Subscription Term, BehindLogin will provide the Subscription Deliverables described in clause 2.1(c).
12.3 Quarterly Deliverables will ordinarily be provided approximately once every three months during the Subscription Term. BehindLogin may reasonably vary the timing of individual updates to reflect research schedules, market developments, provider changes or the availability of relevant research participants.
12.4 Early Annual Report Access means access to the Annual Report ahead of its general market release. The precise timing of early access may vary between annual research cycles.
12.5 Quarterly Journey Map Refreshes will reflect relevant changes identified or observed by BehindLogin during the applicable research period. BehindLogin does not guarantee that every provider, feature or journey will change during each quarter.
12.6 Quarterly Change Logs will summarise relevant changes identified by BehindLogin across the monitored experiences during the applicable period.
12.7 Quarterly Analyst Briefings will be scheduled at mutually reasonable times during the Subscription Term.
12.8 Radar access is limited to three authorised users from within the Client’s organisation. Login credentials and seats may not be shared with individuals outside the Client’s organisation.

12.10 The Subscription will not automatically renew unless expressly agreed otherwise in writing.
12.11 Expiry of the Subscription does not affect the Client’s right to continue using Deliverables already supplied in PDF or other downloadable format, subject to the usage restrictions in clause 6.
12.12 Access to digital platforms, hosted Journey Maps or other subscription-only online content may cease at the end of the Subscription Term unless otherwise agreed in writing.
13. Agreement Process
13.1 The Client accepts this Agreement by submitting the relevant online order or purchase form and confirming acceptance of these Terms and Conditions through the applicable button, checkbox or other electronic acceptance mechanism
13.2 Where the Client accepts the Agreement electronically under clause 13.1, the person submitting the form confirms that they have read and accepted these Terms and Conditions and are authorised to accept them on behalf of the Client.
13.3 Acceptance will create a binding Agreement between BehindLogin and the Client.
